These Terms of Service (“Terms”) govern your access to and use of the Toolented website and the services we provide. By visiting our site or engaging us for work, you agree to these Terms. Specific engagements may also be governed by a separate statement of work or master services agreement; where those documents conflict with these Terms, the signed agreement controls.

Acceptance of Terms

By accessing our website or using our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree, please do not use our site or services.

Use of Services

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You may not attempt to disrupt or compromise our systems, reverse-engineer our software except as permitted by law, misuse our content, or use our services to infringe the rights of others. We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to us, our clients, or third parties.

Intellectual Property

All content on this website — including text, graphics, logos, and code — is owned by Toolented or its licensors and is protected by intellectual property laws. For client engagements, ownership of custom deliverables is defined in the applicable statement of work; typically, ownership of the final work product transfers to the client upon full payment, while we retain rights to our pre-existing tools, frameworks, and general know-how. You may not reproduce or redistribute our website content without permission.

Client Responsibilities

Successful projects depend on collaboration. You agree to provide timely access to the information, materials, approvals, and stakeholders we need to do our work, and to ensure that anything you share with us does not infringe the rights of others. Delays or incomplete information on your side may affect timelines and costs. You are responsible for maintaining the confidentiality of any account credentials and for the accuracy of the details you provide.

Payment & Fees

Fees, payment schedules, and billing terms are set out in your statement of work or proposal. Unless stated otherwise, invoices are due within the period specified on the invoice, and late payments may accrue interest or result in suspension of work. Fees are exclusive of applicable taxes, which are your responsibility. Except where required by law or expressly agreed, payments are non-refundable once the corresponding work has been performed.

Limitation of Liability

To the fullest extent permitted by law, Toolented will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of our website or services. Our total aggregate liability for any claim relating to a project will not exceed the amounts you paid to us for the services giving rise to the claim. Our services are provided “as is” except for warranties expressly stated in a signed agreement.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Toolented is established, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services will be resolved in the courts of that jurisdiction, unless a signed agreement specifies an alternative venue or arbitration process. Nothing in these Terms limits any rights you may have under mandatory local law.
